Terms of Use

The Second Cut is an online marketplace that connects individuals who wish to sell leftover flowers and event items (such as bouquets, centerpieces, vases, and décor) with buyers who wish to purchase them. The Platform facilitates connections between buyers and sellers but is not a party to any transaction between them.

By using the Platform, you represent and warrant that:

• You are at least 18 years of age.
• You have the legal capacity to enter into a binding agreement.
• You will use the Platform in compliance with all applicable laws and regulations.
• The information you provide during registration and in any listing is accurate and complete.

To use certain features of the Platform, you must create an account by providing a valid phone number. You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You agree to notify us immediately at hello@thesecondcut.com if you suspect any unauthorized use of your account.

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms.

Buyers may purchase items at a seller’s listed fixed price or as negotiated directly between the parties. The Second Cut is not a party to this transaction and takes no cut or percentage of transactions.

The Platform provides an in-app messaging feature to allow buyers and sellers to communicate regarding listings, pricing, and pickup arrangements. You agree to use this messaging system respectfully and only for legitimate transaction-related purposes. You may not use the messaging system to harass, threaten, or deceive other users.

The Second Cut reserves the right to monitor communications on the Platform to ensure compliance with these Terms and to investigate reported violations.

You agree not to use the Platform to:

• Post false, misleading, or fraudulent listings.
• Sell items that are illegal, hazardous, stolen, or otherwise prohibited.
• Harass, threaten, or harm other users.
• Attempt to circumvent the Platform by taking transactions off-platform to avoid any future fees or Platform policies.
• Upload content that is obscene, offensive, defamatory, or otherwise inappropriate.
• Use automated tools, bots, or scripts to access or scrape the Platform.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

The Second Cut is a marketplace platform only. We do not buy, sell, inspect, certify, or guarantee any items listed on the Platform. We are not involved in the actual transaction between buyers and sellers, and we are not responsible for:

• The quality, safety, legality, or accuracy of any listing or item.
• The ability of sellers to sell or buyers to buy any item.
• The completion of any transaction.
• Any disputes, claims, losses, or damages arising from transactions between users.

All transactions are conducted entirely at your own risk. We strongly encourage users to exercise common sense and caution when transacting with strangers.

By posting any content on the Platform, including photos, descriptions, and messages, you grant The Second Cut a non-exclusive, royalty-free, worldwide licence to use, display, and reproduce that content for the purposes of operating and promoting the Platform. You retain ownership of any content you post. You represent and warrant that you have the right to post such content and that it does not infringe any third-party intellectual property rights.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy.

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

To the fullest extent permitted by law, The Second Cut and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any transaction conducted through it, even if we have been advised of the possibility of such damages.

You agree to indemnify, defend, and hold harmless The Second Cut and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Platform, your listings, your transactions, or your violation of these Terms.

We reserve the right to modify these Terms at any time. When we do, we will update the effective date at the top of this page. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

We also reserve the right to modify, suspend, or discontinue the Platform or any feature thereof at any time without notice.

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Quebec, Canada.
